Octodec Investments Finalizes Sale of Killarney Mall for R397.5 Million
The real estate investment trust has completed the disposal of the shopping center to reduce corporate debt and support strategic priorities.
Octodec Investments Limited has officially concluded the sale of Killarney Mall, a transaction valued at R397.5 million. The real estate investment trust (REIT) confirmed that all necessary conditions, including approval from the Competition Commission, were successfully met, allowing for the formal transfer of ownership to the purchaser, AJPG Property 1 Proprietary Limited, on November 2, 2026.
The disposal involves the sale of 100% of the shares and claims in Octodec’s wholly owned subsidiary, Killarney Mall Properties Proprietary Limited. This transaction marks the finalization of a deal that was originally announced to the market on February 24, 2026.
According to the company, the proceeds from the sale are intended to serve multiple corporate purposes. A primary objective for the funds is the reduction of existing borrowings, a move that is expected to strengthen the company’s balance sheet. Furthermore, the capital will be utilized to support broader strategic priorities for the group.
While the transaction has reached completion, the final net proceeds remain subject to specific agreed-upon adjustments. Consequently, the company has not yet disclosed whether the R397.5 million valuation represents a premium, a discount, or par value in relation to the property's carrying value on Octodec's financial books.
Octodec Investments operates as a REIT listed on the JSE Limited, managing a diverse portfolio of residential, retail, office, and industrial properties. The group’s assets are primarily concentrated in the metropolitan areas of Tshwane and Johannesburg, serving as a significant player in the South African commercial real estate sector.
Market analysts and stakeholders are expected to gain further clarity on the financial impact of the sale in upcoming reports. Future disclosures will likely detail the final net proceeds realized after adjustments and the subsequent effect on the company's loan-to-value ratio, providing a clearer picture of the transaction's overall economic contribution to the firm.
