Tesla Shares Rise as Market Evaluates Potential SpaceX Merger
Market analyst Gary Black warns investors about potential complexities while Wall Street reacts to ongoing discussions between Tesla and SpaceX.
Tesla shares saw an increase of approximately 2.5 percent during early trading sessions on Wall Street, as investors navigated broader market movements ahead of the United States midterm elections. The electric vehicle manufacturer gained ground alongside other major technology and traditional equities, reflecting resilient early trading momentum.
This upward movement in Tesla stock coincides with heightened attention surrounding a potential business combination with SpaceX. In late October, Elon Musk confirmed that independent director special committees at both Tesla and SpaceX were formed to evaluate a possible merger of the two entities.
Musk pointed out that significant alignment exists between the companies across artificial intelligence, robotics, chip design, and connectivity, making the concept worthy of exploration. He noted that discussions remain ongoing without any guarantee of a final agreement, and confirmed he is abstaining from the direct negotiations.
Addressing these developments on Monday, Gary Black, managing partner at The Future Fund, urged Tesla shareholders to temper their enthusiasm regarding a prospective transaction. Black pointed to recent market reactions involving Marvell Technology's acquisition of Lumentum Holdings as a cautionary precedent for large-scale all-stock deals.
In the Marvell-Lumentum transaction, Lumentum shareholders are set to receive 4.5 Marvell shares for each of theirs, representing roughly a 24 percent premium. However, Black observed that Marvell shares experienced a substantial decline since merger reports emerged, illustrating how extended timelines and complex all-stock structures can prompt traders to sell the acquiring company's stock.
Black projects that a merger between Tesla and SpaceX would likely take the form of a stock-for-stock agreement where SpaceX acquires Tesla at a 20 to 25 percent premium. Nevertheless, he cautioned that market participants would likely diminish the valuation of the acquiring stock, effectively reducing the realized value of the deal premium after any official announcement.
While discussions continue regarding the future relationship between the two companies, Wall Street investors continue to monitor broader market conditions and corporate developments closely. Financial analysts emphasize that any final corporate restructuring remains subject to ongoing evaluation by independent directors from both corporations.
