Marvell Technology Announces $115 Billion Acquisition of Lumentum
The all-stock transaction aims to capitalize on the rapid expansion of artificial intelligence infrastructure and optical connectivity demands.
Marvell Technology announced on Monday that it has agreed to acquire optical components manufacturer Lumentum in an all-stock transaction valued at an implied enterprise value of $115 billion. Under the terms of the fixed-ratio agreement, Lumentum shareholders will receive 4.5 Marvell shares for each Lumentum share they own. The deal, which features no cash component, is anticipated to close during the first half of 2028.
Marvell Chairman and CEO Matt Murphy emphasized the strategic importance of the move, noting that the artificial intelligence industry is undergoing a fundamental shift toward optical connectivity. Murphy stated that companies moving first to define this transition will set industry standards for decades to come. By combining electrical and optical technologies, Marvell intends to address accelerating infrastructure demands driven by large language models and other AI applications.
The acquisition represents one of the largest corporate bets on artificial intelligence infrastructure, arriving despite recent debates regarding the long-term sustainability of such massive spending. The transaction follows Marvell's earlier acquisition of Celestial AI, a startup focused on optical interconnectivity, and highlights the company's aggressive strategy in the sector. Over the past three years, Marvell's market capitalization has more than tripled, while Lumentum's stock has doubled in 2026 alone.
Ahead of the transaction, Lumentum Holdings Inc., trading under the ticker LITE, reported its financial results for the first quarter of fiscal 2027. The communication technology company posted a net income of $360.3 million, or $3.54 per share, surging significantly from $4.2 million, or $0.05 per share, during the same period last year. Revenue for the quarter rose 136.4 percent year-over-year to reach $1.262 billion.
Looking forward, Lumentum Chief Executive Officer Michael Hurlston projected continued momentum for the company. Hurlston stated that the firm anticipates adding approximately $350 million in sequential growth for the upcoming second quarter and expects operating margins to exceed 45 percent. For the second quarter of fiscal 2027, Lumentum guided for adjusted earnings per share between $5.90 and $6.20, alongside projected revenues ranging from $1.575 billion to $1.625 billion.
Despite the strong earnings report and the massive acquisition premium, investor reaction ahead of the market open showed slight declines for both companies involved in the merger. Marvell shares dropped by 3 percent, while Lumentum stock fell roughly 4 percent in pre-market trading, following an earlier session where Lumentum shares had declined on the Nasdaq.
Concurrently, institutional portfolio adjustments reflected broader shifts in technology sector exposure. Broad Peak Investment Advisers completely exited its positions in Lumentum and several other technology and software firms during the third quarter of 2026, contributing to a reduction in its total portfolio value as major investors reevaluate risk concentrations across high-growth semiconductor and optical component holdings.
